GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale govern the offer and sale of products marketed through the e-commerce website www.liveonplus.it (hereinafter the “Website”) by LIVE ON PLUS SRL (hereinafter the “Seller”).
These Terms are supplemented by the Privacy Policy and Cookie Policy published on the Website, which the Buyer is required to read carefully before using the services offered. Use of the Website implies acceptance of these General Terms and Conditions of Sale.

The Website is intended for both consumers and professionals.
Pursuant to Article 3 of Legislative Decree no. 206/2005 (“Consumer Code”):
  • “Consumer” means a natural person acting for purposes unrelated to any business, commercial, craft, or professional activity carried out;
  • “Professional” means a natural or legal person acting in the exercise of their business, commercial, craft, or professional activity.
These Terms apply exclusively to Consumers unless otherwise specified.

2. SUBJECT MATTER OF THE CONTRACT

These General Terms govern the distance sale of products marketed by the Seller through the Website pursuant to Articles 45 et seq. of the Consumer Code and Legislative Decree no. 70/2003 concerning electronic commerce.
The information available on the Website does not constitute an offer to the public but merely an invitation to submit a purchase proposal.

3. ACCEPTANCE OF THE TERMS

By submitting an order, the Buyer:
  • declares to have fully read these General Terms and Conditions of Sale;
  • declares to have read the Privacy Policy and Cookie Policy;
  • fully accepts these Terms.
The Terms applicable are those published on the Website at the time the order is submitted.

4. GEOGRAPHICAL AREA

Products offered on the website www.liveonplus.it may be shipped within Italy and to European Union countries listed as available destinations at checkout.
Orders from countries not expressly supported by the checkout system may be evaluated by the Seller on a case-by-case basis. In such cases, the Seller reserves the right to accept the order, modify shipping costs and conditions, or cancel the order if delivery is not logistically possible, is not accepted by the appointed carrier, or is subject to operational, customs, or commercial restrictions.
In the event of cancellation of the order, any amounts already paid by the Buyer will be fully refunded without undue delay.

5. WEBSITE REGISTRATION

To make purchases on www.liveonplus.it, the Buyer is required to complete a registration process by creating a personal account, in compliance with applicable personal data protection laws, providing all information necessary for the proper execution of the contract and order management.
The required data may include, by way of example and not limitation:
  • first and last name or company name;
  • billing and shipping address;
  • tax code and/or VAT number;
  • e-mail address;
  • phone number;
  • any additional information necessary for administrative, tax, and logistical management of the order.
The Buyer guarantees that the data provided is truthful, accurate, complete, and up to date, and undertakes to keep it updated at all times.
The Seller shall not be held liable for delays, delivery errors, failure to process orders, or other issues resulting from inaccurate, incomplete, or outdated information provided by the Buyer.
The Buyer is responsible for maintaining the confidentiality of account login credentials and for all activities carried out through the account.
The Seller reserves the right to:
  • Verify the data provided by the Buyer.
  • Request additional documentation.
  • suspend or limit accounts containing incomplete, inaccurate, or suspicious data;
  • reject orders in the event of fraudulent, abusive, or bad-faith use.
Where inconsistencies are found in the provided data, the Seller may request appropriate additions or corrections before processing the order.
Personal data are processed in compliance with Regulation (EU) 2016/679 (GDPR) and applicable laws, as specified in the Privacy Policy published on the Website.
It is prohibited to use the Website for unlawful, fraudulent purposes or purposes contrary to applicable laws, public order, or contractual good faith.

6. CONCLUSION OF THE CONTRACT

The offer and sale of products through www.liveonplus.it constitute a distance contract governed by Articles 45 et seq. of Legislative Decree no. 206/2005 (“Consumer Code”) and Legislative Decree no. 70/2003 concerning electronic commerce.
The information, content, catalogues, prices, and product descriptions on the Website do not constitute an offer to the public but an invitation for the user to submit a purchase proposal.
To conclude the purchase contract for one or more products, the Buyer must complete the electronic order form and submit it to the Seller following the instructions provided on the Website.
The order submitted by the Buyer constitutes a binding contractual offer to purchase and implies the obligation to pay the price, taxes, and any shipping costs indicated in the order summary.
Before finally submitting the order, the Buyer must:
  • carefully verify the entered data;
  • Read these General Terms and Conditions of Sale.
  • review the information regarding the right of withdrawal and the Privacy Policy;
  • Check the economic summary of the order.
The purchasing system allows the Buyer to identify and correct any data entry errors before final confirmation of the order.
The contract shall be deemed concluded when the Buyer receives the order confirmation or receipt via e-mail from the Seller.
The order confirmation contains, where applicable:
  • Summary of purchased products;
  • product prices;
  • shipping costs;
  • payment methods;
  • delivery address;
  • Seller’s details;
  • information concerning the right of withdrawal;
  • copy of or reference to these General Terms and Conditions of Sale.
If the Buyer does not receive the order confirmation within 24 hours of submission, they are invited to promptly contact the Seller at servizioclienti@liveonplus.it.
The Seller reserves the right to reject, suspend, or cancel orders in the following cases:
  • incomplete orders or orders containing inaccurate, unverifiable, or inconsistent data;
  • unavailability, including temporary unavailability, of the ordered products;
  • suspected fraudulent use of payment instruments;
  • abnormal orders in relation to product quantities purchased;
  • improper use of promotions, coupons, or discount codes;
  • previous abusive disputes, chargebacks, or violations of these Terms;
  • abusive use of multiple accounts or activities contrary to contractual good faith.
In such cases, the Seller shall, where necessary, contact the Buyer or refund any amounts already paid.
The order form shall be stored in the Seller’s database for the time necessary to process orders and in compliance with applicable legal retention periods.

7. PRODUCTS AND AVAILABILITY

The images, photographs, graphic representations, videos, and descriptions of products published on www.liveonplus.it are for illustrative and promotional purposes only.
Although the Seller undertakes to represent products as accurately as possible, non-substantial differences from the actual product may occur, including:
  • color variations due to the settings of the devices used by the user;
  • differences in format, packaging, or wrapping;
  • manufacturer graphic updates;
  • aesthetic variations not affecting the essential characteristics of the product.
The images on the Website do not constitute an essential contractual element and, in the event of discrepancies between graphic representation and the technical or descriptive product sheet, the written information provided in the product description shall prevail.
Product availability indicated on the Website is purely indicative and does not constitute a guarantee of immediate availability.
The Seller reserves the right to modify at any time:
  • product assortment;
  • descriptions;
  • images;
  • availability;
  • prices;
  • any commercial promotions.
If one or more products become unavailable after the order has been placed, the Seller shall promptly inform the Buyer via e-mail and refund any amounts already paid for unavailable products in full.

8. PRICES

All prices published on www.liveonplus.it are expressed in Euro (€) and include VAT and any other applicable taxes unless otherwise indicated.
Shipping costs, additional charges, and any other applicable fees shall be indicated separately before completion of the order.
The price applied to products shall be the one published on the Website at the time the order is submitted.
Any promotions, commercial offers, coupons, or discount codes:
  • are valid only for the period and under the conditions indicated;
  • cannot be combined unless expressly stated otherwise;
  • are not convertible into cash;
  • cannot be applied retroactively to orders already completed;
  • cannot be transferred, resold, or improperly used.
The Seller reserves the right to suspend, modify, or cancel promotions, commercial initiatives, coupons, or discount codes at any time, particularly in cases of abusive, fraudulent, anomalous, or bad-faith use.
The Seller also reserves the right to limit the quantities of certain products purchasable per order, account, Customer, or shipping address where necessary for commercial, logistical, promotional, or anti-abuse purposes.

9. PAYMENT METHODS

Payments for orders placed on www.liveonplus.it may be made using the payment methods made available during the purchase procedure.
In the case of payment by credit card, prepaid card, or other electronic instruments, the Buyer will be redirected to payment platforms managed by certified third-party providers operating through secure connections and security protocols compliant with industry standards.
Payment instrument data are transmitted directly to the providers responsible for transaction management and are neither accessible to nor stored by the Seller.
Card payments may be managed, by way of example, through PayPal or other payment providers selected by the Seller.
Information transmitted during the payment procedure is protected by SSL (Secure Socket Layer) encryption systems or equivalent security technologies designed to prevent unauthorized access.
The amount due shall be charged according to the timing and methods established by the selected payment provider.
For security, fraud prevention, and protection of commercial transactions, the Seller reserves the right to:
  • carry out anti-fraud checks on received orders;
  • verify ownership of the payment instrument used;
  • request additional documentation or confirmations;
  • temporarily suspend order processing;
  • reject or cancel orders deemed anomalous, suspicious, fraudulent, or made in violation of these Terms.
In the event of payment disputes, chargebacks, or unjustified revocations of transactions, the Seller reserves the right to provide payment providers, banks, financial institutions, or competent authorities with all documentation necessary to demonstrate the regularity of the order, transaction, and delivery.
In the event of manifestly unfounded, fraudulent, or abusive chargebacks, the Seller further reserves the right to take action to recover the amounts due, fees incurred, administrative expenses, and any additional damages suffered.

10. INVOICING

An invoice shall be issued exclusively upon request by the Buyer made at the same time as the order, pursuant to Article 22 of Presidential Decree no. 633/1972.
The tax information provided by the Buyer at the time of purchase shall be used for invoice issuance.
Invoice data cannot be modified after issuance.

10 BIS. RETENTION OF TITLE

Purchased products shall remain the property of the Seller until full payment of the price, shipping costs, and any other amounts due by the Buyer has been received.

11. SHIPPING AND DELIVERY

Products are shipped via express courier.
Indicative timelines:
  • order preparation: 2 business days;
  • Italy Express delivery: 24/48 business hours;
  • International deliveries: variable depending on destination.
The indicated timelines are estimates only and do not constitute an essential term.
In any case, delivery shall take place within a maximum period of 30 days from the conclusion of the contract unless otherwise agreed.
Delivery shall be deemed completed when the product is delivered to the address indicated by the Buyer and may be proven through courier tracking, electronic signature, delivery photograph, geolocation, or other equivalent systems used by the carrier.
Pursuant to Article 63 of the Consumer Code, the risk of loss or damage to the goods transfers to the Consumer when the latter, or a third party designated by them other than the carrier, physically takes possession of the goods.
Where the Buyer requests or authorizes special delivery methods, including deliveries without signature, deliveries to neighbors, receptions, concierges, lockers, or other locations indicated by the Customer, delivery shall be deemed validly completed upon deposit at the authorized location.
From the moment of authorized delivery, all risk relating to loss, theft, or damage to the product shall be borne by the Buyer.
Upon delivery, the Buyer is invited to verify:
  • the integrity of the package;
  • the quantitative and qualitative correspondence of the products;
  • The absence of evident tampering.
Any anomalies must be immediately reported to the courier, where possible by signing “subject to inspection,” and promptly communicated to the Seller at servizioclienti@liveonplus.it.
The Buyer is invited to report any delivery anomalies without delay and, where possible, within 7 days of delivery to allow the Seller to carry out the necessary checks with the carrier. In the event of failed delivery due to recipient absence, incorrect or incomplete address, failure to collect the parcel in storage, or unjustified refusal of delivery, the Seller may deduct from any refund the costs incurred for shipping, storage, and return of the goods.
Any requests for delivery at specific times shall be communicated to the courier without guarantee of execution.

12. RIGHT OF WITHDRAWAL

Pursuant to Articles 52 et seq. of the Consumer Code, the Consumer has the right to withdraw from the contract within 14 days from delivery of the products without providing any reason.
To exercise the right of withdrawal, the Consumer must send explicit communication:

  • order number;
  • Buyer’s details;
  • products subject to withdrawal.

12.1 Return of Products

Products must be returned within 14 days from the date of communication of withdrawal.
Return shipping costs shall be borne by the Consumer unless otherwise indicated by the Seller.
Returned products must be:
  • intact and undamaged;
  • complete with all parts and any accessories;
  • accompanied by original packaging, where present;
  • free from signs of use other than those necessary to verify their nature, characteristics, and functioning.
For hygiene and health protection reasons, the right of withdrawal cannot be exercised in relation to opened, used, altered, or no longer resalable personal-use products.

Once the product has been received, LIVE ON PLUS SRL shall verify the condition of the returned goods and compliance with these General Terms and Conditions of Sale.
If the return is approved, LIVE ON PLUS SRL shall refund the amount paid exclusively for the product subject to withdrawal, including any standard delivery costs incurred by the Buyer, excluding additional costs arising from the choice of delivery methods other than the standard method offered by the Seller, as well as return costs where applicable and any accessory costs.
The refund shall be made within 14 days from receipt of the withdrawal communication. Pursuant to Article 56, paragraph 3, of Legislative Decree no. 206/2005, the Seller may withhold the refund until actual receipt of the returned product or until proof of shipment is provided.
The refund shall be made using the same payment method used by the Buyer for the original transaction unless otherwise agreed between the Parties.

12.2 Exclusions from the Right of Withdrawal

Pursuant to Article 59 of the Consumer Code, the right of withdrawal is excluded in cases provided by applicable law.
By way of example:
  • custom-made or personalized products;
  • sealed goods unsuitable for return for hygiene or health protection reasons once opened after delivery;
  • opened or used personal-use products;
  • goods inseparably mixed with other goods after delivery.
The Seller reserves the right to refuse returns where the returned product falls within the exclusions provided by law.

12.3 Refunds

Following the correct exercise of the right of withdrawal and verification of the conformity of the return, the Seller shall refund all payments received from the Consumer relating to the products subject to withdrawal, including any standard delivery costs incurred, excluding additional costs arising from the choice of delivery methods other than the standard method offered by the Seller and return shipping costs where applicable.
The refund shall be made without undue delay and, in any case, within 14 days from receipt of the withdrawal communication.
Pursuant to Article 56, paragraph 3, of Legislative Decree no. 206/2005, the Seller may withhold the refund until actual receipt of the returned product or until proof of shipment of the return has been provided, whichever occurs first.
The refund shall be made using the same payment method used by the Buyer for the original transaction unless otherwise agreed between the Parties.

13. LEGAL GUARANTEE OF CONFORMITY

All products sold through www.liveonplus.it to Consumers are covered by the Legal Guarantee of Conformity provided by Articles 128 et seq. of Legislative Decree no. 206/2005 (“Consumer Code”), as amended by Legislative Decree no. 170/2021.
The Seller is liable to the Consumer for any lack of conformity existing at the time of delivery of the goods and becoming apparent within 24 (twenty-four) months from delivery.
In the event of a lack of conformity, the Consumer is entitled, free of charge, to restoration of product conformity as provided by applicable law through:
  • repair;
  • replacement;
  • proportional price reduction;
  • termination of the contract in cases provided by law.
The Seller may refuse the requested remedy if it is impossible or excessively burdensome compared to the other remedies provided by applicable legislation.
The Legal Guarantee of Conformity does not cover:
  • damage resulting from improper, abnormal, or unintended use of the product;
  • damage caused by negligence, carelessness, impacts, falls, alterations, or tampering;
  • damage resulting from failure to comply with instructions, warnings, or indications provided by the manufacturer;
  • defects or damage caused by repairs, modifications, or maintenance performed by unauthorized persons;
  • normal wear and tear or deterioration resulting from ordinary use of the product.
To benefit from the Legal Guarantee of Conformity, the Consumer is invited to send a request for assistance to servizioclienti@liveonplus.it, indicating:
  • order number;
  • Buyer’s identification details;
  • A detailed description of the defect found.
  • any useful photographic documentation.
The Seller shall provide the Consumer with the instructions necessary for managing the assistance request and any technical inspections of the product.

14. LIABILITY

The Seller conducts its business with the utmost professional diligence to ensure the proper functioning of the Website and the correct execution of orders.
Except in cases of wilful misconduct or gross negligence, the Seller shall not be held liable for:
  • temporary service interruptions;
  • malfunctions of the Internet network or third-party platforms;
  • delays attributable to couriers or third parties;
  • improper use of products;
  • use of the Website in violation of these Terms;
  • cyberattacks, viruses, or malware;
  • loss of data, profits, or business opportunities;
  • indirect or unforeseeable damages.
Except in cases of wilful misconduct, gross negligence, or mandatory liabilities provided by law, any liability of the Seller shall not exceed the value of the disputed order.
The Seller does not guarantee that the Website will be error-free, uninterrupted, or perfectly compatible with all devices, browsers, or software configurations used by the Buyer.
Any protections provided by applicable consumer protection laws remain unaffected.

15. INTELLECTUAL PROPERTY

All contents available on www.liveonplus.it, including texts, images, photographs, videos, logos, trademarks, layouts, graphic elements, software, and multimedia content, are protected by national and international intellectual property and copyright laws.
Without the Seller’s prior written authorization, it is prohibited to:
  • reproduce, copy, or distribute Website contents;
  • modify or create derivative works;
  • use trademarks, logos, or distinctive signs;
  • use Website contents for commercial purposes;
  • carry out scraping or automated acquisition of website content.
Any unauthorized use may be prosecuted pursuant to applicable laws.

16. PRIVACY

Personal data are processed in compliance with Regulation (EU) 2016/679 (“GDPR”) and applicable Italian legislation.
Complete information regarding the processing of personal data is available in the Privacy Policy published on the Website.

17. SECURITY

The Seller adopts appropriate technical, IT, and organizational measures to ensure the security of www.liveonplus.it, the protection of personal data, and the security of transactions carried out through the Website.
Payment transactions are processed through certified third-party providers operating via SSL-protected connections or equivalent technologies.
Despite the adoption of the above security measures, the Seller cannot guarantee the absolute absence of risks connected with Internet use.
The Buyer is required to keep their login credentials strictly confidential and is responsible for all activities carried out through their account.

18. COMPLAINTS

Any complaints, reports, or assistance requests relating to orders placed through www.liveonplus.it may be sent to servizioclienti@liveonplus.it.
To facilitate faster handling of requests, the Buyer is invited to indicate:
  • order number;
  • identification details;
  • A detailed description of the issue.
  • any useful documentation.
The Seller shall handle the complaint and provide feedback within a reasonable timeframe.

19. FORCE MAJEURE

The Seller shall not be held liable for delays or impossibility in performing contractual obligations caused by events beyond its reasonable control.
By way of example:
  • natural disasters;
  • fires or exceptional weather events;
  • wars, terrorist acts, or riots;
  • strikes or transport disruptions;
  • interruptions of the Internet or electrical networks;
  • epidemics or pandemics;
  • governmental measures;
  • unavailability of couriers or suppliers.
In the event of force majeure, the Seller may suspend, delay, or cancel order execution without liability toward the Buyer.

20. CHANGES TO THE GENERAL TERMS AND CONDITIONS OF SALE

The Seller reserves the right to amend, update, or supplement these General Terms and Conditions of Sale at any time.
Changes shall become effective from the date of publication on the Website and shall apply exclusively to orders placed after such date.

21. APPLICABLE LAW AND JURISDICTION

These General Terms and Conditions of Sale are governed by Italian law.
For any dispute relating to contracts concluded with Consumers, jurisdiction shall lie with the court of the Consumer’s place of residence or domicile, if located within Italian territory.
Where the Buyer acts in the exercise of their professional or business activity (B2B), exclusive jurisdiction shall lie with the Court of Naples unless otherwise provided by mandatory law.

22. ALTERNATIVE DISPUTE RESOLUTION (ADR/ODR)

The Consumer may resort to out-of-court dispute resolution procedures provided by applicable legislation, including ADR procedures pursuant to Articles 141-bis et seq. of the Consumer Code.

The Consumer’s right to bring proceedings before the competent judicial authority pursuant to applicable law remains unaffected.
